Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Empire Web Solutions LLC, a New York limited liability company doing business as Rocquire ("Rocquire", "we", "us", or "our"), and govern your access to and use of the Rocquire discovery platform, websites, and related services (the "Service"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old to use Rocquire. If you are under 18 years old or the age of majority in your jurisdiction, whichever is higher, you may only use Rocquire with the consent and supervision of your parent or legal guardian. By using Rocquire, your parent or legal guardian agrees to be bound by these Terms and accepts responsibility for your use of the Service. We may request proof of age or parental authorization at any time and may suspend or terminate accounts that fail to meet these requirements. You are responsible for complying with all laws that apply to your use of the Service, your account, and any transaction you choose to enter into, including Roblox's Terms of Use and Community Standards.

• You must provide accurate information and keep your account credentials secure.
• You sign in through Roblox and Discord. Keep those upstream accounts secure.
• You may connect your Roblox account via Roblox OAuth so we can verify ownership of the games you list. You authorize Rocquire to use the data returned by Roblox for verification and listings.
• We log authentication events (such as sign-in IP and user agent) for security and fraud prevention. We may suspend or terminate accounts that violate these Terms or pose risk to the Service.
• You are responsible for all activity that occurs under your account.

Rocquire is a marketplace for Roblox games. We host listings, process buyer payments via Stripe, securely hold buyer payments on our own account until Roblox ownership has been transferred and verified, and pay sellers via Stripe Connect after a review hold. Rocquire does not itself perform the ownership transfer on Roblox — that action is performed by the seller through Roblox — but we verify the resulting owner against the buyer's connected Roblox account before releasing funds. Our "ownership verification" is limited to confirming the Roblox account or group relationship for the experience/universe (and, for group-owned games, the owning group). It is not a review of the assets inside the game and is not a warranty that the seller created, licenses, or has rights to any model, script, mesh, audio, texture, image, UI, or other content used in the game. We do not guarantee the accuracy of any listing or the conduct of any user, and you remain responsible for your own decisions to list, purchase, or transfer a game.

• Sellers represent and warrant that they are the lawful owner of every game or group they list, have full legal authority to transfer ownership of it, and that neither the game, group, nor the Roblox account used to list it was obtained through fraud, unauthorized access, account compromise, or any other unlawful means. Sellers remain solely responsible for the accuracy of these representations.
• All metrics, descriptions, and screenshots in a listing must be accurate and not misleading.
• Listings that violate Roblox's Terms, applicable law, or these Terms may be removed at our discretion.
• After a buyer pays for a listing, the seller must transfer ownership of the game (or its owning group) to the buyer's connected Roblox account within 7 days. If the transfer is not completed and verified within that window, Rocquire may cancel the order and refund the listed price to the buyer.
• To receive payouts, sellers must maintain a valid Stripe Connect account in good standing and agree to Stripe's Connected Account Agreement. After ownership is verified, the seller's net (listed price minus the 5% seller fee) enters a 7-day review hold before being released to the seller's Rocquire wallet balance; the seller may then withdraw to their connected bank account.

Rocquire's "ownership verification", "ownership-verified", "Owner Verified", and any similar wording used on the Service refer only to the following limited check, performed through Roblox OAuth:

• For user-owned games, that the seller's connected Roblox account is the current creator of the experience/universe.
• For group-owned games, that the seller's connected Roblox account is the owner (rank 255) of the group that owns the experience/universe.

Ownership verification is not a review, audit, or warranty of the assets inside the game. Rocquire does not verify, and makes no representation about:

• Whether any model, script, mesh, animation, audio, texture, image, UI element, code, or other in-game content is original, properly licensed, or free of third-party intellectual property claims.
• Whether the game complies with Roblox's Terms of Use, Community Standards, Developer Terms, or any third party's rights.
• Whether the game will remain available, monetizable, or free of future DMCA takedowns, copyright or trademark claims, Roblox moderation actions, strikes, deletions, or other enforcement events.

Buyers are solely responsible for performing their own diligence on a game's assets and content before purchasing, and accept the risk that assets may be subject to third-party rights or future enforcement action. Rocquire is not liable for any DMCA claim, copyright or trademark dispute, asset takedown, moderation action, loss of access, or loss of value arising from the content of a game, whether discovered before or after purchase or transfer.

• Buyers are responsible for reviewing listings, performing their own due diligence, and verifying all information before purchasing. Diligence includes reviewing the game's assets (models, scripts, meshes, audio, textures, images, UI, and code) for potential third-party intellectual property issues, since Rocquire's ownership verification does not check asset provenance or licensing.
• Buyers must connect the Roblox account they want to receive the game on before checkout. Rocquire uses that account to verify the ownership transfer; the seller is required to transfer to that specific account, and transfers made to any other account will not be treated as fulfillment.
• By paying at checkout, buyers authorize Rocquire to charge their payment method, securely hold the funds, and release, refund, or reverse the charge in accordance with these Terms and the Fees page. Buyers agree not to initiate a bank or card chargeback while Rocquire's dispute and refund process remains available for the order.

Rocquire charges a 5% buyer protection fee at checkout (added on top of the listed price and non-refundable) and a 5% seller fee deducted from the seller's payout. Bank withdrawals are free (minimum withdrawal $1.00). Creating an account and posting a listing are free. A full breakdown and worked example is on the Fees page. Fees may change from time to time; the fees that apply to a given order are those displayed at checkout for that order.

Card payments are processed by Stripe, and seller payouts are made via Stripe Connect. By using the Service, buyers and sellers also agree to Stripe's applicable terms, including the Stripe Connected Account Agreement for sellers. Funds paid by a buyer are securely held by Rocquire on its own account (not the seller's) until Roblox ownership has been verified and the 7-day payout hold has elapsed. Rocquire may pause a release, reverse a charge, or issue a refund where these Terms, the Fees page, applicable law, or a good-faith fraud or dispute investigation requires it.

• Transfer not completed. If the seller does not complete a verified transfer to the buyer's connected Roblox account within 7 days of payment, the buyer may request a manual refund from support. The listed price is refundable; the 5% buyer protection fee is non-refundable, as it covers payment processing costs Rocquire incurs on every charge.
• During the 7-day payout hold. Once ownership is verified, the seller's payout enters a 7-day review hold. During the hold, either party may raise a dispute using the "Open dispute" button on the order page or by contacting support. Where a dispute is opened before the hold ends and the concern is substantiated, Rocquire may pause the release and reverse the charge before any funds reach the seller's wallet.
• After the hold releases. Once the 7-day hold ends and the seller's net has been released to their Rocquire wallet, the sale is final and not refundable through Rocquire. Complaints raised after this point are handled case-by-case under Stripe's chargeback rules and applicable law.
• What's not refundable. The 5% buyer protection fee, buyer's remorse after the hold releases, changes in the game's performance after the sale, and losses arising from a party's own violation of Roblox's or Rocquire's Terms.

• Listing games you do not own or have no right to sell.
• Misrepresenting metrics, earnings, ownership, or any other material fact about a listing.
• Fraud, money laundering, or any unlawful activity.
• Scraping, reverse-engineering, or interfering with the Service.
• Harassing, threatening, or abusing other users.
• Violating Roblox's Terms of Use or Community Standards.

Rocquire and its content (excluding user-provided content) are owned by Rocquire and protected by applicable IP laws. You retain ownership of content you submit but grant Rocquire a worldwide, non-exclusive, royalty-free license to host, display, and use it as needed to operate, secure, and promote the Service.

The Service relies on third parties, including Roblox (OAuth and game data), our hosting and database provider, and our email provider. We are not responsible for third-party services or their actions. Your use of them is governed by their own terms and policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ROCQUIRE DOES NOT WARRANT THE ACCURACY OF LISTINGS, THE CONDUCT OF USERS, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. ROCQUIRE IS NOT RESPONSIBLE FOR ANY SALE, PAYMENT, OR TRANSFER ARRANGED BETWEEN USERS. ROCQUIRE MAKES NO REPRESENTATION OR WARRANTY THAT ANY ASSET USED IN A LISTED GAME — INCLUDING MODELS, SCRIPTS, MESHES, ANIMATIONS, AUDIO, TEXTURES, IMAGES, UI, OR CODE — IS ORIGINAL, PROPERLY LICENSED, OR FREE OF THIRD-PARTY INTELLECTUAL PROPERTY CLAIMS, AND OWNERSHIP VERIFICATION DOES NOT COVER ASSET PROVENANCE OR LICENSING.

Once ownership of a game or group has been transferred to the buyer, Rocquire is not responsible or liable for anything that happens to that game or group afterward, including changes to its content, configuration, monetization, moderation status, performance, revenue, ownership, or availability on Roblox, or any DMCA takedown, copyright or trademark claim, Roblox moderation action, strike, deletion, or other enforcement event affecting the game or its assets. Responsibility for the asset passes to the buyer at the point of transfer.

Purchasers acknowledge and assume the risk that Roblox may reverse, rescind, or otherwise invalidate the transfer or ownership of a game or group at any time, including due to fraud, account compromise, unauthorized access, policy enforcement, administrative action, or any other action by Roblox. Rocquire has no control over such actions and is not liable for any resulting loss, reversal of ownership, or decrease in value.

Rocquire only supports transactions completed through the Rocquire platform. We do not support, facilitate, verify, or take any responsibility for payments, transfers, side deals, or other arrangements made outside of Rocquire, including those initiated through Discord, Roblox, email, or any other channel. Any off-platform transaction is entirely at your own risk, is not covered by our payment protection or ownership verification, and Rocquire will not be liable for any loss, fraud, or dispute arising from it.

TO THE FULLEST EXTENT PERMITTED BY LAW, ROCQUIRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED USD $100.

You agree to indemnify and hold harmless Rocquire and its affiliates, officers, employees, and agents from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service, your content, or your violation of these Terms or any law.

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or pose risk to the Service. Sections intended to survive termination will do so, including IP, disclaimers, limitation of liability, indemnification, and dispute resolution.

We may modify the Service or these Terms at any time. If changes are material, we'll notify you through the Service or by email. Your continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws principles.
